Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Saneter website, dashboard, APIs, and proxy network (collectively, the “Service”) operated by Saneter, operating as a sole proprietor (“Saneter,” “we,” “us,” or “our”). By creating an account, purchasing a plan, or otherwise using the Service, you (“you” or “Customer”) agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, our Refund Policy, and our Cookie Policy, each of which is incorporated into these Terms by reference. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and references to “you” include both you personally and that organization.
2. Account Registration & Eligibility
To use most parts of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account.
You may use the Service only if:
- You are at least 18 years old, or the age of majority in your jurisdiction, whichever is higher.
- You have the legal capacity to enter into a binding contract.
- You are not located in, or a national or resident of, any country subject to comprehensive economic sanctions by the United Nations, the European Union, the United Kingdom, the United States, or Hong Kong SAR, and you are not on any government list of prohibited or restricted parties.
- You have not been previously suspended or removed from the Service.
3. Description of Service
Saneter provides datacenter, ISP, residential, and mobile proxy services across multiple countries, accessible through our dashboard and APIs. Features, geographic availability, IP pool composition, and pricing may change over time. We may add, modify, or remove features at our discretion, and we will use reasonable efforts to notify you of material changes that adversely affect your active plan.
4. Acceptable Use Policy (AUP)
You agree not to use the Service, and not to permit any third party to use the Service, for any unlawful, harmful, or abusive purpose. The following activities are strictly prohibited and constitute a material breach of these Terms:
- Child Sexual Abuse Material (CSAM). Any content depicting, promoting, facilitating, or related to the sexual exploitation of minors. There are no exceptions, and we will report confirmed activity to relevant authorities.
- Fraud, phishing, and identity theft. Including credential harvesting, impersonation of any person or entity, and operating fake login pages or scam infrastructure.
- Network attacks. DDoS, DoS, brute-force attacks, port scanning of systems you do not own or have written authorization to test, and any unauthorized penetration of computer systems or networks.
- Unsolicited bulk messaging. Email spam, SMS spam, comment spam, forum spam, and any form of unsolicited commercial messaging.
- Scraping content you are not authorized to access.Including content behind login walls, paywalls, or content where the operator’s terms of service or applicable law expressly prohibits automated collection.
- Collection or trafficking of personally identifiable information (PII) without a lawful basis and the necessary consents.
- Intellectual property infringement. Distributing or facilitating distribution of pirated content, counterfeit goods, trademark infringement, or circumventing DRM.
- Terrorism, violent extremism, weapons trafficking, or promotion of any of the foregoing.
- Trafficking in narcotics, human beings, or other illegal goods or services.
- Black-hat SEO, click fraud, or ad fraud, including artificial inflation of impressions, clicks, installs, or conversions.
- Cryptocurrency mining or operating mining pools over the Service. Saneter is not a general-purpose compute or bandwidth product for mining.
- Election interference and large-scale inauthentic activity, including coordinated fake-account operations, vote manipulation, and political disinformation campaigns.
- Non-consensual or unlawful sexual content.Lawful adult content is not prohibited per se, but content involving minors, non-consenting individuals, or non-consensual intimate imagery (“revenge porn”) is strictly forbidden.
- Reverse engineering or resale. You may not reverse engineer, decompile, or attempt to extract source code from the Service, and you may not resell, sublicense, rent, or otherwise redistribute our proxy IPs or bandwidth to third parties without a written reseller agreement.
- Abuse of trials, promotions, and free credits. Including creating multiple accounts to circumvent limits, bypassing payment requirements, and any form of promotion fraud.
We may, at our discretion and without prior notice, suspend or terminate access for conduct we reasonably believe violates this AUP, and we may cooperate with law enforcement where required.
5. Customer Obligations
You are solely responsible for:
- Ensuring that your use of the Service complies with all applicable laws, including data protection, export control, anti-spam, intellectual property, and computer-fraud laws in every jurisdiction in which you operate or target.
- Respecting the terms of service,
robots.txt, and rate limits of any third-party website you access through the Service. - Maintaining the confidentiality of your account credentials and API tokens, and promptly notifying us of any suspected unauthorized access.
- The content of any requests you send and the data you collect through the Service.
6. Fees, Billing & Auto-Renewal
Plans, pricing, and resource allotments are described on our pricing pages and at checkout. Unless otherwise stated, fees are charged in advance and are non-refundable except as set out in our Refund Policy.
6.1 Subscriptions
Subscription plans automatically renew at the end of each billing cycle (monthly or annually, as selected at purchase) at the then-current rate. You may cancel renewal at any time from your dashboard; cancellation takes effect at the end of the current billing cycle, and the Service remains available until that date.
6.2 Price changes
We may change pricing for future billing cycles. We will provide at least 30 days’ notice by email before any price increase takes effect. If you do not agree to a price change, you may cancel before it takes effect; any prepaid, unused portion of your current cycle will be refunded on a pro-rata basis.
6.3 Taxes
Stated prices exclude any applicable taxes, duties, levies, or similar government charges, which are your responsibility unless we are required to collect them on your behalf.
6.4 Late payment
If a charge cannot be processed (for example, an expired card or insufficient funds), we may suspend the Service until payment is received and may charge reasonable reinstatement fees.
7. Refunds
Refund eligibility is described in our Refund Policy. In summary: a full refund may be requested within 3 days of purchaseif you have consumed less than 20% of the plan’s allocated bandwidth (for bandwidth-based plans) or less than 20% of allocated IPs (for IP-based plans). Requests outside this window or above this threshold are evaluated on a case-by-case basis.
8. Term, Suspension & Termination
8.1 Term
These Terms remain in effect for as long as you have an account or are using the Service.
8.2 Termination by you
You may stop using the Service and close your account at any time. Closing your account does not by itself entitle you to a refund; refund eligibility is governed by Section 7 and the Refund Policy.
8.3 Suspension or termination by us
We may suspend or terminate your access to the Service in the following circumstances:
- Immediate termination, no notice, no refund of remaining prepaid balance, for serious AUP violations (including but not limited to CSAM, DDoS, fraud, phishing, and large-scale spam) and for activity that exposes Saneter, our upstream providers, or other users to legal or security risk.
- Termination after a 7-day cure period, with written notice by email, for material breaches that are capable of being cured, including unpaid invoices and other non-severe AUP issues. If the breach is not cured within 7 days, we may terminate, and any remaining prepaid balance is forfeited.
- Voluntary, compliant termination. If you terminate without breaching these Terms, refunds (if any) are governed by Section 7 and the Refund Policy.
8.4 Effect of termination & data retention
On termination, your right to access the Service ends immediately. We will retain associated account data, usage logs, and billing records for up to 90 days after termination to handle appeals, comply with legal obligations, and resolve disputes, after which the data will be deleted or anonymized except where longer retention is required by law.
9. Service Availability
We will use commercially reasonable efforts to maintain the availability of the Service. The Service is provided on an “as available” basis and may be subject to scheduled maintenance, unscheduled outages, network conditions, third-party infrastructure failures, force majeure events, and other factors outside our control. We do not commit to a specific guaranteed uptime percentage in these Terms and do not offer service credits unless expressly agreed in a separate written agreement.
10. Intellectual Property
The Service, including its software, dashboard, documentation, branding, and underlying technology, is owned by Saneter or its licensors and is protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes during the term of your subscription.
You retain all rights in the data and content you submit to the Service (“Customer Data”), and you grant us a limited license to process Customer Data solely as needed to operate and improve the Service. You are responsible for ensuring you have the rights necessary to grant this license.
11. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, error-free, secure against every threat, compatible with every target website, or that any particular IP address will remain available, clean, or unblocked by any third party.
12. Limitation of Liability
To the maximum extent permitted by law, our total cumulative liability arising out of or in connection with these Terms or the Service, for any cause whatsoever and regardless of the form of action, will not exceed the total fees you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, in which case the foregoing limitations apply to the maximum extent permitted by applicable law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Saneter and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use or misuse of the Service; (b) your violation of these Terms, the AUP, or any applicable law; (c) your violation of any third-party right, including intellectual property, privacy, or publicity rights; or (d) Customer Data you submit, transmit, or collect through the Service.
14. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China, without regard to its conflict of laws principles.
14.1 Good-faith negotiation
Before initiating any formal dispute resolution proceeding, the parties agree to attempt in good faith to resolve any dispute through informal negotiation, for a period of at least 30 days from the date written notice of the dispute is delivered by one party to the other.
14.2 Arbitration
If the dispute is not resolved within the 30-day negotiation period, the dispute shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force at the time the notice of arbitration is submitted. The seat of arbitration shall be Hong Kong, the language of the arbitration shall be English, and the tribunal shall consist of one arbitrator. The arbitration award shall be final and binding on the parties.
14.3 Mandatory consumer protections
Nothing in this section limits any non-waivable rights you may have as a consumer under the mandatory law of your country of residence.
15. Changes to Terms & Contact
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, provide additional notice (for example, by email or an in-product notice). Your continued use of the Service after the effective date of the changes constitutes acceptance of the revised Terms.
